Terms of Service

1. Agreement to Terms

These Terms of Service are an agreement between you, whether acting personally or for a business, and ShowFloor AI ("ShowFloor," "we," "us," or "our"). They govern showfloor.ai, app.showfloor.ai, hosted ShowFloor showrooms, visualizer embeds on approved contractor websites, and related products and services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

2. Intellectual Property Rights

ShowFloor and its licensors own the Services, including the software, interfaces, designs, text, graphics, trademarks, and underlying technology. You retain the rights you hold in room photos, logos, material images, project information, and other content you submit. Generated previews are subject to the commercial-use license below and any rights in third-party source materials.

3. User Representations

By using the Services, you represent that you have legal capacity to agree to these Terms; your registration and business information is accurate; you will protect your credentials and team access; and you have the rights, permissions, and lawful basis needed to upload content, process client information, and contact leads. You may not upload a room photo, material, logo, or personal information you are not authorized to use.

5. Uploaded Content and Permission to Process It

You grant ShowFloor and its service providers a limited, worldwide license to host, copy, transmit, transform, and otherwise process submitted content only as needed to operate, secure, support, and improve the Services. This permission includes generating floor previews, preparing proposals, delivering visualizer leads, creating thumbnails or exports, and troubleshooting results. You remain responsible for the content you submit and may not use the Services to infringe intellectual-property, privacy, publicity, or other rights.

6. Website Visualizer and Customer Submissions

A contractor may publish a hosted showroom or install the ShowFloor visualizer on an approved website. A homeowner or other prospect who submits the visualizer authorizes ShowFloor to process the supplied contact details, project photo, and material choices and to deliver them to the identified contractor. ShowFloor provides the software and transmission service; the contractor is responsible for its own sales follow-up, privacy notices, marketing consent, service claims, pricing, contracts, installation work, and compliance with applicable law.

Contractors may install the embed only on domains approved for their account and may not conceal its source, bypass origin controls, copy the embed for an unrelated business, or use it to collect information deceptively. We may suspend a showroom, embed, or lead flow that creates security, abuse, legal, or availability risk.

7. Preview Accuracy and Plan Limits

Visualizations are sales and design previews, not guarantees of final installation appearance. Lighting, device display, room conditions, source-photo quality, material variation, surface preparation, application technique, dye lots, and other job conditions can change the installed result. Contractors must verify the selected product, scope, measurements, suitability, availability, price, and installation requirements before contracting or performing work.

Plans and job packs include the usage, team, website, and customer-preview allowances shown at purchase. Website customer previews may use a separate allowance from contractor-created previews, and a comparison with two generated finishes consumes two customer previews. We may apply reasonable daily limits, rate limits, abuse protections, or temporary processing controls to preserve service availability. Attempts to evade limits, automate unauthorized bulk use, share accounts improperly, or overload the Services are prohibited.

8. Prohibited Activities

You may not use the Services unlawfully; reverse engineer or interfere with the Services; bypass access, billing, origin, or usage controls; probe or exploit security weaknesses; upload malicious code; impersonate another person or business; scrape or resell the Services without permission; generate deceptive, infringing, or abusive content; or access another customer’s account, media, leads, or project information.

9. Service Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Service; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Service; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof.

10. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

11. Governing Law

These Terms shall be governed by and defined following the laws of the State of Delaware. ShowFloor AI and yourself irrevocably consent that the courts of Delaware shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
